The short answer
An investor may require specific insurance before releasing funds. Read the term sheet and any side letter for the policy, limit, evidence and deadline instead of assuming a standard package will satisfy it. Start underwriting early and disclose pending financing. A contract check is an initial review, not a guarantee of binding by closing.
Use this guide to prepare questions, not to establish coverage. Any unsourced costs, limits or timing ranges are illustrative planning examples, not quotes, verified market averages or carrier commitments.
Where the insurance requirement shows up in your financing documents
| Document | Typical wording | What satisfies it |
|---|---|---|
| Term sheet | “Company will maintain D&O insurance acceptable to investors” | A D&O policy, usually $1M at seed |
| Side letter | “Evidence of general liability insurance prior to funding” | A GL certificate showing $1M/$2M |
| Closing conditions | “Insurance in place as of the closing date” | Policies bound on or before closing |
| Board seat terms | “D&O covering the investor’s designee” | D&O, where directors are insured persons by definition |
Read the exact words. “Evidence of insurance” usually means a certificate. “Acceptable to investors” means their counsel will want to see the policy.
What a pre-revenue startup can bind, and how fast
| Coverage | Realistic timing | Annual premium, pre-revenue |
|---|---|---|
| General liability $1M/$2M | Same business day | $250 to $600 |
| D&O $1M | 3 to 7 business days to quote | $2,500 to $5,000 |
| Tech E&O and cyber $1M | 2 to 5 business days | $1,500 to $4,000 |
Illustrative annual budgeting ranges, not quotes or measured placement averages. Actual pricing requires underwriting; taxes and fees may be additional.
Start D&O first. It takes longest, and buying D&O before your round closes usually costs less.
What proof of insurance your investor will accept
General liability is shown on a standard ACORD 25 certificate, issued the day it binds. D&O is usually shown with the declarations page or a binder, since certificates are built for liability lines. Send both to the investor’s counsel, not just the partner, so closing isn’t held up on paperwork.
Who can get pre-revenue coverage in place before funding
Online platforms can bind GL for a pre-revenue company in minutes. D&O takes underwriting wherever you buy it. StartupInsurance.ai quotes both at once, matches the side letter’s wording, and sends proof to your investor’s counsel. Frequently asked questions
How fast can I show my investor proof of insurance?
It depends on whether suitable coverage is already in force, underwriting and the evidence requested. Confirm the investor’s deadline and accepted documents, then obtain carrier confirmation. A contract-check response is not a binding or certificate-delivery guarantee.
Do SAFE investors require insurance?
Rarely. Requirements usually come with priced rounds, especially when an investor takes a board seat. Check your side letter; a SAFE with a side letter can still include one.
Is my investor named on my insurance policy?
Not necessarily. Check the actual requirement and policy. An investor-appointed director may qualify as an insured person under D&O, but definitions and exclusions matter; that does not automatically insure the investor fund itself.
How do I prove I have D&O insurance?
Send the declarations page or a binder from the carrier. A standard certificate of insurance is built for general liability and similar lines and often won't show D&O terms.
Will my investors ask for more insurance after Series A?
Usually. Limits rise and employment practices coverage is often added. See what investors require at each stage.

Policy wording, carrier, state and your company’s operations determine what applies.
